1. Data about the foundation that owns the website and operates the online shop.
The online store hosted by the website verticalfreedom.org deţinut de FUNDATIA VERTICAL FREEDOM based in Cluj – Napoca, 41 Traian Moșoiu Street, Cluj County; C.I.F. 50053460;, hereinafter referred to as The Foundaion.
The online store is operated in accordance with these regulations, which contain detailed terms and conditions of operation that are supplemented by applicable legal regulations.
This Regulation is provided free of charge.
2. DEFINITIONS:
Visitor: any real person over the age of 18 or legal entity browsing the online store website, whether or not they create an account, and is not considered a Customer for the purposes of these Regulations.
Client: a real person over the age of 18, or, as the case may be, a legal entity, who has an account on the online shop’s website and places an Order, thus becoming a party to the sale -purchase contract concluded in electronic form concerning products purchased from the online shop’s website.
User: includes both persons who are visitors and customers.
Account: contains personal data of the Users, including, but not limited to: name, surname, valid e-mail address, telephone number, home and/or residence address, bank account, account password. By creating the Account, the User expresses his/her Consent to the processing of his/her personal data in accordance with the terms and conditions herein.
Order Form: is an electronic document containing mandatory and/or optional fields to be filled in by the User in order to place the order online. The personal data indicated in the order form may coincide with the data indicated in the Account, with the possibility for the Customer to opt for a delivery address distinct from the home or residence address.
Order: represents the Customer’s firm and irrevocable intention to purchase the selected products.
Contract/ Contract of Sale – Purchase in electronic format: is the contract concluded at a distance between the Foundation and the Client, concerning the products selected in the Order and subsequently confirmed in any way by the Foundation for the availability of the products and the price applicable to them indicated on the Site and subsequently confirmed by e-mail by the Foundation, paid by the Client as specified in the Terms and Conditions.
Customer Data: means any personal data, such as, name, surname, address, telephone number, CNP, identity card data, e-mail address that the Foundation stores in order to purchase the Products in accordance with these Terms and Conditions.
Consent: is the expression of the User’s will, expressed voluntarily, to accept all the terms and conditions of this document, including the processing of his/her data.
Newsletter: is a means of information, sent periodically by the Foundation by electronic means (e-mail, SMS, etc.), regarding the Products and/or promotions of the Foundation in a given period to the User, insofar as the User expressly opts for this service, without any commitment on the part of the Foundation towards the Client.
3. GENERAL PROVISIONS
- These Regulations define in detail the terms and conditions under which the Customer may purchase Products through the … The Foundation reserves the right to unilaterally amend and update the terms and conditions of these Regulations, even without the Customer’s prior agreement or notification.
- Browsing this Website and using the services of the online shop implies Consent given by the User. Consent is deemed to be given when the User checks the Accept box. By expressing Consent, the User declares that he/she has read this document in its entirety, fully understood and agrees with the meaning and content of the terms and conditions of this document.
- By visiting the Terms and Conditions page you can always read the latest version of these provisions.
- The contact section will contain the contact details of the Foundation’s representative with whom the User will be able to get in touch in case he/she has any concerns, requests, questions in connection with the terms and conditions of this document.
4. GENERAL NOTIONS REGARDING PRODUCTS, IMAGES AND PROMOTIONS
The information, images/product pictures are for information purposes only and the products delivered may differ from the images on the website in terms of color or shade
The promotions/offers presented on the WEBSITE are valid within the limits of available stock. Promotions are valid for limited periods of time, usually mentioned. If no time period is mentioned, they are valid within the limits of available stock.
Promotions displayed on the site may differ from those in physical stores.
The presence of products on the site does NOT guarantee that they are in stock. Our consultants will confirm availability for each product.
VERTICAL FREEDOM FOUNDATION reserves the right to complete and modify any information on the site.
5. INTELLECTUAL PROPERTY CONTENT
All content, including but not limited to static images, dynamic images, graphic images, text content and/or multimedia content presented on the website are the exclusive intellectual property of Vertical Freedom Foundation or its partners.
The User is prohibited from copying, distributing, publishing, reproducing, altering, or utilizing the content of this. website without prior written consent from the Foundation. In the event of breach of this obligation, the User shall be directly liable to the Foundation for any prejudice resulting from the breach of these provisions. The Member or Client may copy, transfer and/or use the Content solely for personal or non-commercial purposes, only if they do not conflict with the above provisions.

6. TIME OF CONCLUSION OF THE CONTRACT OF SALE.
TRANSFER OF OWNERSHIP AND RISKS OF THE CONTRACT.
The sale-purchase contract is considered concluded at the moment the Customer receives by e-mail and/or SMS the Order confirmation from the Foundation.
The transfer of ownership of the Purchased Products and the contractual risk shall pass to the Customer from the moment of delivery of the Products, subject to full payment of the ordered Products and the delivery charges.
7. FOUNDATION SALES POLICY.
The Vertical Freedom Foundation may publish on the website information about products, services and/or promotions practiced by it, during a certain period and within the limits of available stock.
Products and / or services purchased through the online service are intended solely for the Customer’s personal use.
Vertical Freedom Foundation may limit the ability to purchase products or services available on the Site at any given time to one or more Customers.
8. PLACING ORDERS
The Customer may place orders for products sold at a given time, exclusively on the website.
By finalizing the order, the Customer agrees that all data provided by him, necessary for the purchase process, are correct, complete and true at the time of placing the order.
By finalizing the order the Customer consents that Vertical Freedom Foundation may contact him/her for the following purposes / situations:
- Non-acceptance by the bank issuing the Customer’s card, of the transaction, in case of payment by bank card.
- Invalidation of the transaction by the card processor approved by Vertical Freedom Foundation, in case of payment by bank card.
- Validation of product availability and quantities purchased by the Customer.
- Validation by the Customer of the value of the order placed and including, depending on the situation, other value-added services (e.g. transportation, etc.).
- Establishing, by mutual agreement, the delivery details of the products.
Vertical Freedom Foundation may automatically terminate the order made by the Client, without any further obligation of either party to the other or without either party being able to claim damages from the other, in the following cases: – non-acceptance of the transaction by the Client’s card-issuing bank, in the case of online payment:
- invalidation of the transaction by the card processor, in the case of online payment;
- the data provided by the Client on the website is incomplete or incorrect;
- the Client’s activity on the website may and/or may cause damages of any nature- without any justification
- without any justification.
An order confirmed by the client and by the Vertical Freedom Foundation becomes a Distance Contract, according to O.G. 130/2000 art. 2.
Cancellation Policy
Notice Period: Customers may cancel their order at no charge, provided the cancellation is made within 24 hours of placing the order.
Cancellations after 24 hours: If the order cancellation is requested after the 24 hours have expired and the products have entered the shipping process, the return policy will apply.
Transportation Costs:
If the order is canceled after the 24 hours, the shipping costs for returning the products will be borne by the customer.
Cancellation Procedure: To cancel an order, contact our customer service by writing to office@verticalfreedom.org, specifying order details: order no. and name.
This policy aims to provide clarity and transparency in the order cancellation process
9. PAYMENT
Vertical Freedom Foundation offers the following payment methods, valid only for full payment:
- Online Card Payment
You can pay online with your personal or company credit card, in complete security! The cards accepted for payment are VISA (Classic and Electron) and MASTERCARD (including Maestro, if they have code CVV2/CVC2).Whatever currency you have in your account, transactions are made in lei, at the exchange rate of your bank.
Card data processing is done exclusively through the EuPlatesc.ro platform.
Vertical Freedom Foundation does not request or store any card details. - Payment by bank transfer (by payment order).
Payment by Payment Order is made only on the basis of the proforma invoice issued by Vertical Freedom Foundation, following telephone or email confirmation of the order with a sales consultant.
Delivery of goods is made after payment confirmation.
As some Products on the Site may be displayed in error or with a price that may be considered obviously derisory, Vertical Freedom Foundation has the right to cancel any orders placed with respect to those Products, and is obligated to refund to the Customer, as applicable, any amounts paid up to that point, with the consequence of refunding the entire amount paid by the Buyer in consideration of cancelled Orders.All prices for products or services presented on the website are expressed in lei (RON) and include VAT. Vertical Freedom Foundation reserves the right to change the price of products / services without prior notice.
The prices displayed on the website cut by a line mean the list price, and the uncut price is the price that the Customer must pay for the purchase of the product / service, if there are products on promotion. Thus, the promotion is highlighted on each product, showing the initial price (cut), respectively the promotion price (to pay).
The invoicing of the purchased products is made exclusively in RON using the information
provided by the Customer in the form. Vertical Freedom Foundation is not responsible for the accuracy of the information provided by the Customer for the invoice.
All documents related to the order will be sent by email. In case of online payments Vertical Freedom Foundation is not/cannot be held responsible for any additional costs incurred by the Client, including but not limited to currency conversion fees applied by the issuing bank of the Client’s card, in case the issuing currency of the card differs from RON. The responsibility for this action lies solely with the customer.
In case the CLIENT delays the payment of the Goods, the delivery term assumed by the Vertical Freedom Foundation is postponed by the number of days until the payment is made.
- Reimbursement
– can be made only for small and medium products. For orders with fragile products, with large volume and weight (bedside tables, sofas, tables, bedroom and living room furniture), payment can only be made online by credit card or bank transfer..
10. DELIVERY OF PRODUCTS
Transportation
- Deliveries will be made on average in 5 days after placing the order (for products in stock) and 15 days for products that are not in stock and are brought specifically for the customer who placed the order, without exceeding the 30 days. If the product can not be delivered, Vertical Freedom Foundation, is obliged to inform the Customer about this unavailability, and the amounts that he has paid as payment will be refunded by Vertical Freedom Foundation within a maximum of 14 days.
- Delivery to the Client of the products (small and medium sized) purchased from Vertical Freedom Foundation, is made through Sameday Courier company or other such companies, by their own means of transportation in the cities where they are available.
- The Vertical Freedom Foundation undertakes to deliver the goods to the CLIENT, who will ensure their proper packaging.
- The delivery service involves the transportation of the goods to the front of the block/house.
- The delivery service is available only in Romania!
10. RETURN OF PRODUCTS
I. Return of products
The Vertical Freedom Foundation customer may return products purchased through the order in the following situations:
- The packages show severe damage
- The products have been wrongly delivered
- Products do not meet expectations
- If the size does not correspond
The consumer has the right to unilaterally terminate the distance contract, without penalty and without giving a reason, within 14 calendar days of receipt of the product or product, applying the rules contained in O.U.G. 34/2014.
The Customer is obliged to notify the Vertical Freedom Foundation of his intention to return the purchased products, by any means of written communication (e-mail/fax/etc) within a maximum of 14 calendar days from receipt of the products and/or services.
The Client who has notified Vertical Freedom Foundation of the intention to return the products is responsible for ensuring that the products referred to will be returned within a maximum of 14 calendar days from the date of sending the notification, otherwise Vertical Freedom Foundation will consider the request unfounded/invalid.
In case of refund of the value of the product, it will be made within 14 calendar days from the confirmation of the return.
In case of replacement of the product with an identical one, the replacement will be made under the conditions and within the limits of a normal order.
The value of additional services including but not limited to the transportation of products, paid by the customer, is not refundable.
In all cases, the return/shipping costs will be borne by the customer
II. Conditions of exchange – PARTICULARITIES
The return period must not exceed more than 15 working days by completing the return form on the website.
Products must be returned in the original packaging without traces of use, scratches or damaged.
12. COMPLAINTS
The legislation provides for a period of 15 calendar days to resolve a complaint! Because the products commercialized by our website are produced abroad, the Buyer will be informed and hereby accepts that the deadline for resolving the complaint will be communicated in writing upon receipt of the complaint by the Seller/Supplier.

13. EXCLUSION OF LIABILITY
The Foundation shall only be liable in the event of wilful or grossly negligent breach of the Terms and Conditions of this Regulation. In all cases, liability to the Client for any loss or damage arising in connection with an order is limited to the total price of that order.
To the extent that, due to an error, the price of a product has been wrongly entered on the Shop Website, the Foundation shall not be obliged to supply the selected products at the wrong price. In this case, the Foundation is obliged to inform the Customer immediately and in all cases before sending the confirmation e-mail and/or SMS.
The Foundation shall not be liable for any claims that may arise as a result of erroneous, inaccurate or incomplete, untrue information provided by the User.
All information used to describe the products available on the website hosting the online shop (including, but not limited to, images, presentations) does not represent a contractual obligation on the part of the Foundation, and is used solely for informational purposes and by way of presentation.
14. PROTECTION OF PERSONAL DATA
By registering for an account, the User agrees to make available to the Shop Operator his/her personal data necessary for the successful realization and completion of the process of purchasing products from the Shop. The personal data will be used to identify the User, to provide access to the various products and services available.
The User guarantees that the personal data provided are true and accurate and agrees to report in due time any change, modification, update of personal data
The Foundation undertakes to respect the confidentiality of the information provided by the User and undertakes not to disclose, provide, communicate this information to third parties, with the exception of the Foundation’s service partners to whom the transmission of the data is necessary in order to complete the order process (including, among others, the postal service, courier service).
The Foundation has implemented GDPR as reflected in the Privacy Policy which you can access at this link. By accessing the services of the online shop the User expressly consents to the processing of his/her data in accordance with the Policy and for the purpose of the performance of the Contract.
15. CHANGES
The User declares that he/she agrees with the method of communication by which the Foundation conducts its commercial operations, namely by telephone and e-mail.
Any verbal conversation will have no effect unless confirmed in writing.
16. FORCE MAJEURE
None of the parties to the contract of sale-purchase shall be liable for non-performance of the obligations arising from this Regulation if the non-performance is due to force majeure as defined in Art. 1351 para. (2) Cod. Civil Code, with the obligation to notify the other party in any way, no later than 5 days from the occurrence of the event.
17. DISPUTES
Any disputes between the Foundation and the User arising out of non-compliance with these Rules will be settled amicably between the parties.
In the event that it is not possible to settle any disputes amicably, recourse will be had to the courts at the Foundation’s headquarters.
18. APPLICABLE LAW
This Regulation is subject to the Romanian legislation in force.
19. FINAL CLAUSES
If any provision of these Terms and Conditions is invalid, voidable or otherwise unenforceable, the validity and enforcement of the remaining terms and conditions shall not be affected hereby.
